1. Start with the objective and choose the entry mode

Brazil offers several practical routes, and no single structure fits every investor. Exporting through a distributor or importer tests demand with less operating commitment, but gives the intermediary influence over channel and brand. A local agent or partner adds relationships and compliance knowledge, so exclusivity, commissions and intellectual property must be documented carefully. A Brazilian subsidiary suits hiring, invoicing, inventory and tenders. An acquisition can provide speed, assets and customers, but requires rigorous due diligence. A foreign-company branch requires prior authorization from DREI. Compare control, speed, capital, compliance and scalability before selecting the structure.

2. Screen the market and state before committing

Turn the idea into a testable hypothesis: who buys, what is the product or service classification, what is the landed cost after freight and taxes, and who competes or supplies? MDIC’s official Comex Stat provides free, no-registration access to detailed Brazilian goods import and export data from 1997, with filters and CSV or spreadsheet extraction; it does not replace validation of services or domestic demand. Compare states for customer proximity, ports, labor, energy, environmental requirements and incentives, and contact state investment agencies. Use IBGE or the relevant sector association for demographic or production indicators, recording each figure’s date.

3. Sequence registration, intellectual property and capital steps

Once the business model is validated, appoint the proper local representative and map the CNPJ route with Receita Federal and Redesim. Receita explains that a foreign legal entity outside the CDNR or CVM tracks uses event 107 in the Redesim portal, then may submit the DBE or transmission protocol and supporting documents to a registry authority or a digital e-CAC process. BCB states that non-capital-markets equity participation generally uses CDNR, while CVM registration can automatically generate CNPJ for certain financial-market investors. Search the mark at INPI, pay the GRU before filing, and monitor the RPI. When applicable, report foreign direct investment through SCE-IED; CNPJ is not the same as investment registration.

4. Build a staged decision with risk gates

Use decision gates instead of one large leap: discovery with customer interviews, a local partner and landed-cost analysis; a pilot that measures demand, margin and service; then an investment decision reviewing contracts, permits, tax, data and currency exposure. Commission commercial, financial, legal, environmental and technical due diligence before buying an asset or signing exclusivity. Define stop criteria and reserve time and budget for translation, legalization and advisers. Can a foreign company own an interest in a Brazilian company?

Yes. Banco Central states that a nonresident individual or legal entity may participate in a Brazilian company. The investor must map the correct CNPJ and representation route; Receita’s guidance places foreign entities investing in equity interests in Brazilian legal entities among activities associated with the CDNR, with SCE-IED reporting applying when its conditions are met. Requirements vary by activity, regulated sector and funding method, so confirm the current instructions with BCB, Receita and local counsel before transferring funds or closing a transaction.

When must foreign direct investment be reported to BCB?

According to BCB’s service page last modified on 11 March 2026, the investment must be detailed in SCE-IED when a transfer linked to the nonresident investor is at least US$100,000 or equivalent, for specified capitalizations or resource movements, and when a reporting date arrives with the recipient above the periodic-declaration thresholds. The published thresholds include R$300 million for quarterly reporting, R$100 million for annual reporting and R$100,000 for five-year reporting. Check the live system and rules before each deadline.

Do I need to register a trademark before entering the market?

Registration is not a universal prerequisite for starting every activity, but it is an important early step for protecting a name and identity in Brazil. INPI recommends searching its trademark database to avoid a similar mark for related goods or services, then paying the GRU before filing through e-Marcas, attaching an image when applicable, and monitoring the Industrial Property Journal because notices and deadlines may require action. Confirm classes, ownership and related marks with an IP professional before launching a campaign or signing an exclusive distribution agreement.
