Yes, a buyer can acquire an operating business in Brazil, but a listing is not proof of value or clean title. Start by confirming the CNPJ, registration status and QSA, then request contracts, financial statements, tax records, labor information and evidence of licenses. 1. Start with legal identity and ownership

Request the CNPJ, trade name, legal name, addresses, economic activities and the relevant Junta Comercial registration. The official CNPJ service lets anyone consult a legal entity’s registration data, including cadastral status and the QSA, and issue proof of registration. Use REDESIM to validate documents and reconcile the listing with contracts, invoices and bank records. Obtain the latest articles, amendments and minutes, and verify that the seller’s signatory has authority. In a share deal, map voting rights, restrictions and liens. In an asset deal, specify exactly which assets, contracts, permits and liabilities transfer and which remain with the seller.

2. Test tax, labor and hidden liabilities

Do not accept the statement “there are no debts” without evidence. Request the federal fiscal-regularity certificate, which combines the company’s position before Receita Federal and PGFN and identifies a negative, positive-with-negative-effect or positive result. Check its issue date: the published validity is 180 days, and the certificate does not replace a review of tax returns, installments, audits or litigation. Issue the Ministry of Labor’s debt certificate by CNPJ and review labor claims, notices and settlements. For regulated activities, request the Ibama Certificate of Regularity and verify state and municipal permits; a federal certificate does not cover every site obligation.

3. Examine finances, credit and operating capacity

Reconcile revenue, bank statements and tax filings with invoices, customer records and supplier ledgers; ask for monthly management accounts, not only a marketing summary. Separate recurring profit from exceptional sales and owner compensation from operating costs. The Central Bank’s SCR report shows debts and commitments with financial institutions, balances, operation types, delinquency and credit limits, but access requires the company’s authorized representative; obtain it from the seller and record the extraction date. Use IBGE’s CEMPRE for annual comparisons by activity, geography and employment, and Comex Stat to test import and export claims by product, country, state or municipality.

4. Protect intangible assets and design the closing

Search the INPI databases for marks, applications, classes, owners and oppositions, then compare the result with what the seller actually markets: name, mark, packaging and digital properties. If ownership is transferred, INPI requires the new owner to file the ownership-transfer request through e-INPI, pay the GRU and submit the supporting documents, then follow the decision in Busca Web and the RPI. Also review patents, software, exclusive contracts and domain names. Make closing conditional on document delivery, release of liens, permit confirmation and transfer of accounts and data, and consider holding back part of the price for agreed indemnities.

Is a CNPJ search enough to complete an acquisition?

No. A CNPJ search is an identity, registration-status and QSA check; it does not by itself reveal every debt, lawsuit, revenue risk or trademark-right issue. Use it to match the seller to the legal entity, then request tax and labor certificates, contracts, financial records, permits, an authorized SCR report and an INPI search.

What is the difference between a share deal and an asset deal?

In a share deal, you acquire the legal entity, so its history and liabilities generally remain inside it even when the contract includes indemnities. In an asset deal, you select what transfers, but contracts, permits, employees and brands may require consent or separate filings. The right structure depends on tax, liability and continuity considerations and should be documented after Brazilian legal and accounting review.

How do I verify that a trademark will actually transfer to the buyer?

Search the INPI database for the mark, applications and current owner. After signing the transfer instrument, the new owner must request the ownership annotation through e-INPI, submit the required information and documents, pay the applicable fee and follow publication and decision in Busca Web and the RPI. Put every application or registration number in the sale agreement. Do not assume that buying shares transfers a mark owned by another entity.
